These Terms of Service ("Terms") govern your access to and use of Alayn AI, including the Alayn website, software platform, applications, integrations and related services (collectively, the "Services").

By creating an account, purchasing a subscription, accepting an order or proposal, accessing the platform, or otherwise using the Services, you agree to these Terms.

If you are accepting these Terms on behalf of a business or organisation, you confirm that you have the authority to bind that business or organisation to these Terms.

If you do not agree to these Terms, you must not access or use the Services.

1. About Alayn

Alayn AI is a cloud-based, AI-powered business operating system designed to bring business operations, intelligence and automation together in one platform.

Alayn's Services may include:

Point of Sale (POS)

Kitchen Display Systems (KDS)

Inventory management

Workforce management

Staff scheduling

Customer management

Business intelligence and analytics

Sales intelligence

Reporting and forecasting

Waste optimisation

Workflow automation

Operational insights

Business dashboards

Third-party integrations

Other features and services introduced by Alayn from time to time

2. Definitions

For these Terms:

"Alayn", "we", "us" or "our" means BRAHM GLOBAL HOLDINGS, a sole proprietorship owned and operated by Iyaan Khan Tauqir Khan.

"Customer", "you" or "your" means the individual or business using or purchasing the Services.

"Services" means Alayn's software platform, applications, website, features, functionality, APIs, integrations and related services.

"Account" means an account created to access the Services.

"Authorised User" means an employee, contractor, representative or other person authorised by the Customer to use the Services.

"Customer Data" means information, records, content and other data submitted, uploaded or otherwise provided to Alayn by or on behalf of the Customer.

"Subscription" means a paid plan providing access to specified Services.

"Order" means an order form, proposal, quotation, subscription confirmation or other commercial document accepted by the Customer.

"Third-Party Services" means software, platforms, integrations, payment services or other services operated by third parties.

3. Acceptance of These Terms

These Terms form a legally binding agreement between you and Alayn.

You may accept these Terms by:

creating an Alayn Account;

accepting an electronic checkbox or agreement;

signing an Order;

accepting a proposal or quotation;

purchasing a Subscription; or

accessing or using the Services.

Where you enter into a separate written agreement with Alayn, that agreement will prevail over these Terms to the extent of any inconsistency.

4. Eligibility and Authority

The Services are intended primarily for businesses and professional users.

You must have the legal capacity and authority required to enter into a binding agreement.

If you use Alayn on behalf of a business or organisation, you represent that you are authorised to accept these Terms on its behalf.

5. Your Account

Certain Services require an Account.

You agree to:

provide accurate and current information;

keep your Account information updated;

maintain the confidentiality of your login credentials;

use reasonable security practices;

restrict access to authorised individuals;

maintain appropriate user permissions; and

notify Alayn promptly of suspected unauthorised access.

You are responsible for activity conducted through your Account, except to the extent that such activity results directly from Alayn's failure to maintain reasonable security measures.

6. Authorised Users

The Customer is responsible for all Authorised Users accessing the Services through its Account.

You must ensure that Authorised Users:

comply with these Terms;

use the Services only for legitimate business purposes;

protect their login credentials;

do not misuse the Services; and

comply with applicable laws and regulations.

The Customer is responsible for assigning and managing appropriate access permissions.

7. Subscriptions

Certain Alayn Services require a paid Subscription.

Subscription plans, pricing, billing periods, features, usage limits and applicable conditions will be communicated through the Alayn website, an Order, proposal, quotation or other commercial documentation.

Alayn may offer monthly, annual, enterprise and other Subscription arrangements.

The commercial terms applicable to your Subscription are those confirmed at the time of purchase or otherwise agreed with Alayn in writing.

Alayn may introduce new plans, features or pricing structures from time to time.

8. Trials, Pilots and Demonstrations

Alayn may offer demonstrations, pilots, evaluations, trials or limited-access programmes.

Unless expressly stated otherwise in writing:

demonstration access is not a paid Subscription;

trial or pilot access may be limited in functionality or duration;

trial or pilot access may be modified or withdrawn; and

trial or pilot access does not create an obligation for Alayn to provide continued free access.

Any specific conditions communicated for a particular trial or pilot will apply in addition to these Terms.

9. Fees and Payment

Customers must pay the fees applicable to their selected Subscription or Order.

Unless otherwise agreed:

fees are payable according to the applicable billing cycle;

applicable taxes may be charged in addition to stated prices;

GST and other statutory taxes may apply;

payment obligations are subject to the applicable commercial terms; and

Customers are responsible for providing accurate billing information.

Payments may be processed through third-party payment providers. Additional terms of those providers may apply.

10. Taxes

Customers are responsible for applicable taxes associated with their purchase or use of the Services, except taxes imposed directly on Alayn's income.

Where required, Alayn may charge and collect GST or other applicable taxes.

Customers are responsible for providing accurate tax and billing information where required.

11. Failed or Overdue Payments

Where a payment is overdue or fails, Alayn may:

notify the Customer;

request payment;

restrict certain functionality;

suspend access; or

terminate the applicable Subscription,

subject to applicable law and the relevant commercial agreement.

Where reasonably practicable, Alayn will provide notice before suspending Services for non-payment.

The Customer remains responsible for fees accrued before suspension or termination.

12. Cancellation and Refunds

Cancellations and refunds are governed by Alayn's Refund & Cancellation Policy.

Unless expressly stated otherwise in that Policy, an unused portion of a Subscription does not automatically create a right to a refund.

Where a Customer is entitled to a refund under the applicable policy, Order or law, Alayn will process the refund in accordance with the applicable terms.

13. Customer Data

The Customer retains its rights and interests in Customer Data.

Nothing in these Terms transfers ownership of the Customer's underlying business information to Alayn.

The Customer grants Alayn a limited, non-exclusive right to host, store, transmit, reproduce and process Customer Data only as reasonably necessary to:

provide the Services;

operate the Customer's Account;

provide support;

maintain and secure the platform;

prevent fraud and misuse;

troubleshoot technical issues;

comply with legal obligations; and

provide functionality requested or authorised by the Customer.

14. Customer Responsibility for Data

The Customer is responsible for:

the accuracy of Customer Data;

the legality of Customer Data;

obtaining necessary permissions and consents;

providing required privacy notices;

ensuring that its use of the Services complies with applicable law; and

ensuring that Customer Data does not unlawfully infringe the rights of another person.

Alayn provides technology and infrastructure and does not determine the Customer's independent purposes for processing information through the Services.

15. Personal Data and Privacy

Where Alayn processes personal data on behalf of a Customer, the Customer may act as the relevant Data Fiduciary or equivalent entity, while Alayn may act as a Data Processor, service provider or equivalent processing entity, depending on the circumstances and applicable law.

The processing of personal data is also governed by Alayn's Privacy Policy and, where applicable, a separate Data Processing Agreement.

The parties will comply with applicable data protection and privacy laws.

For customers operating in India, this includes applicable requirements under the Digital Personal Data Protection Act, 2023 and applicable rules and regulations as they come into force.

16. Artificial Intelligence

Alayn incorporates artificial intelligence and machine-learning technologies into certain Services.

AI-powered functionality may include:

business intelligence;

forecasting;

recommendations;

operational insights;

anomaly detection;

inventory analysis;

workforce insights;

waste analysis;

reporting; and

automation.

AI-generated outputs are intended to assist business users and should not automatically be treated as definitive professional, legal, financial, employment, tax, safety or regulatory advice.

Customers remain responsible for reviewing AI-generated outputs before taking consequential business action.

17. AI Outputs and Accuracy

Artificial intelligence systems may occasionally produce information that is inaccurate, incomplete or unsuitable for a particular situation.

Accordingly, Alayn does not guarantee that AI-generated information, predictions, recommendations or insights will always be accurate or complete.

Where a decision could materially affect employees, customers, finances, legal compliance, health or safety, Customers should independently verify relevant information and exercise appropriate human judgement.

18. Customer Data and AI Model Training

Alayn does not use Customer Data to train general-purpose AI models without appropriate authorisation or consent where required.

Customer Data may nevertheless be processed by Alayn's AI-powered features where necessary to provide functionality requested by the Customer.

Alayn may use aggregated, anonymised or de-identified information for purposes including:

improving platform performance;

developing products;

identifying trends;

analytics;

research; and

improving the Services,

subject to applicable law.

19. POS and Transaction Processing

Where Alayn provides POS functionality, the Customer remains responsible for:

product and menu configuration;

pricing;

tax configuration;

transaction review;

user permissions;

financial records; and

compliance with applicable tax, financial and commercial requirements.

Alayn provides software functionality and does not provide tax, accounting or legal advice.

20. Kitchen Display Systems

Where Alayn provides KDS functionality, the system is intended to assist with order routing, kitchen workflow and operational coordination.

The Customer remains responsible for:

food preparation;

food safety;

allergen management;

kitchen procedures;

staff supervision;

equipment operation; and

compliance with applicable health and safety requirements.

Alayn does not replace appropriate human supervision.

21. Workforce Management

Where Alayn provides workforce management functionality, the Customer remains responsible for employment-related decisions and compliance.

This includes decisions relating to:

recruitment;

scheduling;

working hours;

wages;

leave;

performance;

disciplinary matters;

termination; and

employee communications.

Alayn's workforce tools are intended to provide operational assistance and do not constitute employment or legal advice.

22. Third-Party Services and Integrations

Alayn may integrate with Third-Party Services, including payment providers, accounting systems, delivery platforms, communication tools, payroll systems and other business software.

Third-Party Services are governed by their own terms and privacy policies.

Alayn does not guarantee the availability, accuracy, security or continued compatibility of Third-Party Services.

Alayn is not responsible for third-party outages, pricing changes, API changes, security incidents, data processing practices or functionality outside Alayn's reasonable control.

23. Service Availability

Alayn aims to provide reliable and continuously improving Services.

However, unless expressly agreed in a separate Service Level Agreement, Alayn does not guarantee uninterrupted or error-free availability.

Services may occasionally be unavailable because of:

scheduled maintenance;

emergency maintenance;

security measures;

infrastructure failures;

third-party service failures;

telecommunications or internet failures;

events beyond Alayn's reasonable control; or

other technical circumstances.

Where reasonably practicable, Alayn will provide advance notice of planned material maintenance.

24. Changes to the Services

Alayn may modify, update, improve, replace or discontinue features from time to time.

This may include introducing new functionality, improving security, changing interfaces, replacing obsolete features or modifying technical architecture.

Alayn will endeavour not to materially reduce the core functionality of a paid Subscription without reasonable notice.

Enterprise Customers may have additional rights under their applicable commercial agreement.

25. Acceptable Use

You must use Alayn lawfully and responsibly.

You must not:

use the Services for unlawful purposes;

attempt to gain unauthorised access;

circumvent security controls;

interfere with platform operations;

introduce malicious code;

reverse engineer the Services except where expressly permitted by law;

copy or reproduce the Services except as permitted;

resell the Services without written authorisation;

scrape or systematically extract platform data;

overload or disrupt infrastructure;

impersonate another person;

use another person's credentials without permission;

upload unlawful or malicious material;

infringe intellectual property rights;

use the Services to facilitate fraud;

violate applicable privacy, employment, consumer or financial laws; or

use Alayn to develop a competing service through unauthorised extraction or replication of the platform.

26. Suspension of Access

Alayn may suspend access where reasonably necessary to:

protect the security of the platform;

prevent fraud or abuse;

investigate unlawful activity;

respond to a security incident;

protect other customers;

address a material breach of these Terms;

address overdue payments; or

comply with legal requirements.

Where reasonably practicable, Alayn will provide notice and an opportunity to remedy the relevant issue.

Immediate suspension may occur where delay could create a material security, legal or operational risk.

27. Termination

A Customer may cancel its Subscription in accordance with the applicable Subscription terms and Alayn's Refund & Cancellation Policy.

Alayn may terminate or suspend access where:

the Customer materially breaches these Terms;

applicable fees remain unpaid;

the Customer engages in unlawful activity;

continued use creates a material security risk;

the Customer materially abuses the Services;

termination is required by law; or

Alayn permanently discontinues the relevant Service.

Where a breach is capable of remedy, Alayn will generally provide reasonable notice and an opportunity to remedy the breach.

28. Effect of Termination

Upon termination:

the Customer's right to access the Services will cease;

outstanding fees remain payable;

the Customer must cease using the Services; and

obligations accrued before termination remain unaffected.

Subject to applicable law and contractual requirements, Customer Data may remain available for a limited period following termination to facilitate account closure or data export.

Alayn may subsequently delete or anonymise Customer Data in accordance with its applicable retention practices.

29. Data Export

Where technically available, Customers may export Customer Data before termination.

The availability and format of export functionality may depend on the Subscription, relevant feature, technical limitations, Third-Party Services and the type of information being exported.

Customers are responsible for maintaining appropriate backups of information required for their business operations.

30. Intellectual Property

All intellectual property rights in Alayn's:

software;

platform;

source code;

interfaces;

designs;

trademarks;

logos;

branding;

documentation;

workflows;

architecture;

algorithms;

AI systems;

models;

methodologies; and

related technology

belong to Alayn or its licensors.

These Terms do not transfer ownership of Alayn's intellectual property to the Customer.

31. Customer Licence

Subject to payment of applicable fees and compliance with these Terms, Alayn grants the Customer a limited, non-exclusive, non-transferable and revocable right to access and use the Services during the applicable Subscription period.

This licence is for the Customer's internal business purposes only.

The Customer may not sublicense, resell, distribute or commercially exploit the Services except with Alayn's written authorisation.

32. Feedback

Customers may provide suggestions, ideas or feedback concerning Alayn.

Alayn may use such feedback to improve its Services without payment or obligation, provided that Alayn does not publicly identify the Customer as the source of confidential feedback without permission.

33. Confidentiality

Each party may receive confidential information from the other.

Each party agrees to protect confidential information and use it only for purposes connected with the relationship, except where disclosure is required by law or otherwise permitted under these Terms.

Confidential information does not include information that is publicly available without breach, was already lawfully known, is independently developed or is lawfully obtained from another source without confidentiality restrictions.

34. Warranties

Alayn will use reasonable care and skill in providing the Services.

Except where expressly stated in these Terms or required by applicable law, the Services are provided on an "as available" basis.

Alayn does not warrant that:

the Services will always be uninterrupted;

every feature will always be available;

the Services will be entirely error-free;

AI outputs will always be accurate;

forecasts will always match actual outcomes;

third-party integrations will always function; or

the Services will satisfy every individual business requirement.

35. No Professional Advice

Alayn is a technology platform.

Information generated by the Services does not constitute legal, tax, accounting, employment, financial, medical, food safety or other regulated professional advice.

Customers should obtain appropriate professional advice where necessary.

36. Limitation of Liability

To the maximum extent permitted by applicable law, Alayn will not be liable for indirect, incidental, special or consequential losses, including loss of:

profits;

revenue;

business opportunities;

goodwill;

anticipated savings; or

business continuity.

To the maximum extent permitted by law, Alayn's aggregate liability arising out of or relating to the Services or these Terms will not exceed the total fees actually paid by the Customer to Alayn for the relevant Services during the 12 months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

37. Indemnification

To the extent permitted by applicable law, the Customer agrees to indemnify and hold harmless Alayn and its owners, personnel and service providers against claims, losses, liabilities and reasonable costs arising from:

unlawful use of the Services;

breach of these Terms;

misuse of Customer Data;

violation of another person's rights;

violation of applicable law; or

unauthorised access resulting from the Customer's failure to maintain appropriate credentials or permissions.

This does not apply to the extent that a claim results from Alayn's own proven breach of its obligations.

38. Force Majeure

Alayn will not be responsible for failure or delay caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, government action, telecommunications failures, internet infrastructure failures, widespread cyber incidents, power failures, third-party infrastructure failures, labour disputes, epidemics or other events beyond reasonable control.

39. Changes to These Terms

Alayn may update these Terms from time to time to reflect changes to the Services, new functionality, business requirements, legal or regulatory developments or security requirements.

Where material changes are made, Alayn may provide notice through the website, platform, email or other reasonable means.

The updated Terms will identify their effective date.

Continued use of the Services after the effective date constitutes acceptance of the updated Terms to the extent permitted by applicable law.

40. Governing Law and Jurisdiction

These Terms are governed by the laws of India.

The parties will endeavour to resolve disputes through good-faith discussions before commencing formal proceedings.

Subject to any mandatory legal rights or remedies, the courts having appropriate jurisdiction in Mumbai, Maharashtra, India shall have jurisdiction over disputes arising from or relating to these Terms.

Nothing in this section prevents either party from seeking urgent interim or injunctive relief from a competent court where necessary.

41. Enterprise Agreements

Enterprise Customers may enter into a separate written agreement with Alayn.

Where an Enterprise Agreement conflicts with these Terms, the Enterprise Agreement will prevail to the extent of the conflict.

Enterprise Agreements may contain additional provisions concerning pricing, implementation, service levels, security, data processing, confidentiality, liability, support, data retention, termination and other commercial matters.

42. Severability

If any provision of these Terms is determined to be invalid, unlawful or unenforceable, that provision will be modified or removed only to the extent necessary.

The remaining provisions will continue in full force and effect.

43. No Waiver

A failure by Alayn to enforce any provision of these Terms does not constitute a waiver of its right to enforce that provision in the future.

44. Assignment

The Customer may not transfer or assign its rights or obligations under these Terms without Alayn's prior written consent, except where permitted by applicable law.

Alayn may assign or transfer these Terms as part of a merger, acquisition, restructuring, sale of relevant assets or similar business transaction, subject to applicable law.

45. Entire Agreement

These Terms, together with the applicable:

Order;

Subscription details;

Privacy Policy;

Refund & Cancellation Policy;

Cookie Policy;

Data Processing Agreement, where applicable; and

Enterprise Agreement, where applicable,

constitute the agreement between the Customer and Alayn concerning the Services.

46. Electronic Acceptance

The Customer agrees that electronic acceptance of these Terms, including acceptance through the Alayn website or platform, constitutes acceptance of this agreement to the extent permitted by applicable law.

Electronic records may be retained as evidence of acceptance.
